Real Estate Paralegal (In-House) (DFM #925)

Well-known, high-profile, real estate company is seeking a very experienced Commercial Real Estate Paralegal to join their team in downtown Dallas!


The Paralegal is responsible for administering various legal projects in support of the company’s goals.  This individual will assist all departments, as requested, with legal aspects of their business and serve as the gatekeeper to ensure legal documents have been reviewed and approved by the applicable team prior to execution.


Job Responsibilities:


-Assist SVP Tax with the formation of new corporate entities.

-Prepare consents in lieu of annual meetings.

-Prepare corporate resolutions for loan and purchase/sale transactions.

-Review and negotiation of contracts (i.e., vendor contracts, licenses, etc.)

-Oversee the organization and maintenance of corporate legal files.

Purchase and Sale Agreements:

-Draft purchase/sale agreements and amendments.

-Work with Asset Managers on raw land, office, industrial or retail purchase and sale agreements as requested.

-Monitor compliance with delivery requirements and other critical dates under the purchase and sale agreements and coordinate and manage the delivery of due diligence materials.

-Prepare title and survey objections with respect to properties under contract to purchase/respond to title and survey objections with respect to properties under contract to sell.

-Coordinate and manage closing with outside legal counsel, accounting and title companies.


-Coordinate and manage the delivery of due diligence materials to lenders.

-Prepare certificates and resolutions and other closing items.

-Assist Asset Manager and outside counsel, as needed, with respect to the coordination of loan documents and the loan closings.


-Assist Asset Managers as needed on the drafting and review of leases and lease amendments.

-Work with Asset Managers on leases that typically would have been outsourced to outside counsel.

-Maintain standard and updated lease forms.

Property Management:

-Assist accounting/property management, as needed, with tenant relationship issues, including default situations.

-Assist Asset Manager with the preparation of any management agreements.

Job Prerequisites:

-Paralegal certification and/or bachelor’s degree required.

-7+ years of paralegal experience, corporate experience preferred, but not required.

-Minimum 5 years experience working with real estate documents and transactions.

-Proven expertise with title and survey.

-3 Professional References must be submitted.

Salary:  $110,00-$115,000!
