Transactional Paralegal (DFM #917)

High-profile, global law firm in Dallas is seeking a Senior Transactional Paralegal to support very busy attorneys in the Public Finance and Real Estate arena!

 

Duties & Responsibilities:

  • Document preparation and management including uploading, organizing and storing due diligence materials for review and collaboration with all parties of the transaction
  • Monitoring and reviewing transactional documents for the purpose of preparing and updating the closing checklist to track status of transactional documents and the progression the transaction
  • Drafting and editing lengthy and highly-complex documents; drafting legal notices and arranging for publication in newspapers; filing transcripts with the Texas Attorney General
  • Coordinating the entire real estate closing process; closing documents and settlement statements, title and survey
  • Communicating with clients, outside counsel, vendors, county, state and federal agencies to facilitate coordinating and scheduling transaction closings
  • Familiarity with file share sites for posting documents; assembling and scanning documents accurately is essential
  • Develop and prepare disclosure schedules for corporate acquisitions, mergers, reorganizations, and loan transactions
  • Coordinating delivery and collection of signature pages from clients as well as the delivery of such to all parties
  • Analyzing corporate documents to determine jurisdictions in which to conduct UCC lien and litigation searches
  • Recording real estate documents and conducting real property record searches
  • Registering entities and individuals with the Securities and Exchange Commission
  • Working on post-closing matters such as transaction closing volumes/transcripts; coordinating reproduction and distribution of same
  • Maintaining and updating client matter files
  • Drafting internal memorandums and letters
  • Assisting with preparation of entity organizational documents and filing of same with appropriate agencies

 

Requirements:

  • Public Finance and Real Estate experience
  • Technical expertise in Microsoft Office and document management system
  • Strong communication and writing skills
  • Extraordinary attention to detail; research skills
  • Multi-tasking plus ability to multi-task and work independently (with limited supervision); team work
  • Outstanding case management and organizational skills plus deadline/time-management skills
  • A  solid aptitude for understanding financial concepts; ability to exercise practical judgement; flexibly and highly adaptable

 

The Firm provides a rich benefit package to include parking, paid OT, etc. in beautiful offices.

 

Salary:  $85,000-95,000
