Vice President of Legal/General Counsel (North Dallas) (DFM #942)

A leading U.S. distributor of commercial and residential plumbing, waterworks and HVAC, and bath & kitchen products across the country is seeking a business minded attorney to join their team in their North Dallas, Texas office!

General Duties:

-Collaborate closely with members of the C-suite and senior leadership team along with field leadership to prevent and solve potential legal issues relating to agreements with our customers and or vendors throughout the markets they serve.  Implement enterprise-wide, accepted approaches to managing contract and other risks within the organization.

-Reviews, negotiates and drafts contracts, including commercial contracts (POs, bids, contract reviews, garnishments, terms & conditions, etc.) and other contracts (such as IT, Marketing, etc.), and provides training to the business teams.

-Advise on regulatory, governmental and compliance matters.

-Collaborate with and advise members of the Safety, Finance, IT, and People Experience teams.

-Manage, maintain, and coordinate all documentation related to material business contracts.  Develop solution for contract management to ensure appropriate record retention and approvals.

-Assess and mitigate the Firm’s USA’s legal risk and educate and provide suggestions to operations and senior leadership.

-Multi-task and work in a deadline-driven environment.  Ability to respond timely and effectively and manage competing priorities.

-Work with paralegal to manage company filings and records and other corporate entity legal work.

-Liaison with external counsel when required for various litigation or when specialized legal resources are required.

-Participates in continuing legal education programs and other activities as necessary to keep informed of developments in the law, new and proposed statutes and regulations, economic and social issues and other matters of interest to the Company and the distribution and construction industry.



-Licensed Attorney with 6+ years of experience both in legal counsel at a law firm as well as industry corporate counsel.  Must have J.D. from an ABA accredited law school is required.  Prefer undergraduate degree or graduate degree in business, accounting, finance or other business-related disciplines.

-Experience in a distribution and/or construction organization or firm preferred.

-Experience in handling regulatory matters, including GLB, DPPA, FCRA and HIPPA is a plus!

-Substantive experience in distribution and/or construction and design/build contracts from the Owner, Subcontractor and/or Contractor’s points of view.

-Familiarity with construction claims handling and understanding of insurance in the construction industry preferred.

-Experience in areas such as marketing promotion, warranty and other business insurance claims.

-Advanced legal drafting and analytical skills; strong organizational skills, advanced reading and writing skills; interpersonal, problem solving, research and document review; and work processing skills.

-Ability to effectively communicate with others at all levels of the organization and outside counsel, both written and verbal communication.

-Strong public speaking skills along with presentation skills. Extremely responsive to a high-volume of diverse requests.

-Self-motivated, organized team player who works well in a high-energy and fast-paced environment.

-Cooperative and encourages collaboration and builds understanding; ability to find common ground and solve problems, and who owns his or her projects and commitments.


Supervisory/Managerial Responsibility:

-Manage one paralegal.  Must be able to supervise and lead work of the paralegal and outside counsel effectively.
