Job Description:

A growing Dallas-based boutique law firm has an immediate need for a dedicated and professional Banking and Finance Associate for their busy North Dallas office.  As a member of the Banking and Finance Department, you will assist in representing banks, private lenders, and borrowers in secured and unsecured lending transactions, including equipment finance, commercial real estate finance, cash flow/acquisition loans, and asset-backed finance.

The Banking and Finance Associate will work 60% to 80% on behalf of banks and private lenders and will develop deep insight into the lending markets in Texas and nationwide.  The firm has a 35-year history of representing middle-market companies in various industries, real estate developers and investors, and capital providers, such as family offices, banks, and private equity.  Associates work directly with senior attorneys on transactions to gain guidance on legal analysis and deal execution.  Their mission is to bring strategic business insight, professional judgment and competence to their client’s business and legal issues.

Duties & Responsibilities:

  • Draft, negotiate, structure, and close first-lien, second lien, unsecured, and syndicated credit transactions for both lenders and borrowers.
  • Develop best practices for drafting security documents and perfecting security interests, including asset-based lending, equipment lending, cash-flow lending, and commercial real estate.
  • Request, organize, and review information to provide substantive advice on corporate transactions.
  • Review diligence items and draft disclosure ancillary documents, opinions, disclosure schedules, and exhibits.
  • Produce high-quality, error-free work product in a deadline-sensitive environment.
  • Assist in other assigned projects in the corporate transactions department.

Qualifications:

  • J.D. from an ABA-accredited law school and be in good standing with the Texas Bar.
  • 2-5+ years of experience, to include 3,500+ hours in commercial lending, including equipment, commercial real estate, cash flow/acquisition, or asset-backed financing.
  • Prior experience representing banks or private/public lenders in secured loans or financing transactions with debt-or fixed-income-like features is a plus!
  • Experience drafting and reviewing loan documents and ancillary financing documents, including credit agreements, promissory notes, security agreements, UCC financing statements, guaranties, intercreditor agreements, subordination agreements, and related exhibits.
  • Familiarity with financial and accounting issues related to fixed-income debt and commercial loans.
  • Proficiency in investment, general corporate, and/or M&A transactions is a plus!
  • Proficiency with Westlaw and Microsoft Office, and willingness to be an ambassador embracing the Firm’s leading-edge legal AI tools.
  • Highly organized and manages data with strong attention to detail.
